<legis-type>AN ACT</legis-type> 
<official-title display="yes">To amend the Clayton Act and the Federal Trade Commission Act to provide that the Federal Trade Commission shall exercise authority with respect to mergers only under the Clayton Act and only in the same procedural manner as the Attorney General exercises such authority.</official-title>

<section id="HC3E5B8C5F1F949A894E98A1DE89A702F" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Standard Merger and Acquisition Reviews Through Equal Rules Act of 2018</short-title></quote>.</text></section> <section id="HAFEEFBD118034D8484F8BADA094A1EED"><enum>2.</enum><header>Amendments to the Clayton Act</header><text display-inline="no-display-inline">The Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12</external-xref> et seq.) is amended—</text> 
<paragraph id="H5CF99ADE6A1F4A5C8D4E1EAC9A621403"><enum>(1)</enum><text>by striking section 4F and inserting the following:</text> <quoted-block display-inline="no-display-inline" id="HCA22F14D2DA3440CB40A7E372DF10920" style="OLC"> <section id="H516F5BF4DFA748539AAD28C18CBA389C"><enum>4F.</enum><header>Actions by Attorney General of the United States or the Federal Trade Commission</header> <subsection id="H56E7322C44214A0290D474E4D86742AB"><enum>(a)</enum><text display-inline="yes-display-inline">Whenever the Attorney General of the United States has brought an action under the antitrust laws or the Federal Trade Commission has brought an action under section 15, and the Attorney General or Federal Trade Commission, as applicable, has reason to believe that any State attorney general would be entitled to bring an action under this Act based substantially on the same alleged violation of the antitrust laws or section 7, the Attorney General or Federal Trade Commission, as applicable, shall promptly give written notification thereof to such State attorney general.</text></subsection> 
<subsection id="H16D29DEF595A4C1DAB2679C425753212"><enum>(b)</enum><text>To assist a State attorney general in evaluating the notice described in subsection (a) or in bringing any action under this Act, the Attorney General of the United States or Federal Trade Commission, as applicable, shall, upon request by such State attorney general, make available to the State attorney general, to the extent permitted by law, any investigative files or other materials which are or may be relevant or material to the actual or potential cause of action under this Act.</text></subsection></section><after-quoted-block>;</after-quoted-block></quoted-block></paragraph> <paragraph id="H20F367D4180A492A98D825B7900C0CE1"><enum>(2)</enum><text>in section 5—</text> 
<subparagraph id="H7A11980952D34D93A254D9068B723211"><enum>(A)</enum><text>in subsection (a) by inserting <quote>or a proceeding brought by the Federal Trade Commission under section 15</quote> after <quote>United States under the antitrust laws</quote>; and</text></subparagraph> <subparagraph id="H517C4E85389E4DCBA3693B8B60B99AC3"><enum>(B)</enum><text>in subsection (i) by inserting <quote>or a proceeding instituted by the Federal Trade Commission under section 15</quote> after <quote>antitrust laws</quote>;</text></subparagraph> </paragraph> 
<paragraph id="H6E573F5A132945B39EBCFF79D82D5E02" display-inline="no-display-inline"><enum>(3) </enum><text>Section 11 of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/21">15 U.S.C. 21</external-xref>) is amended—</text> <subparagraph id="H43A3132864A94FB3808A7F7C28BC7D79"><enum>(A)</enum><text>in subsection (b) by striking <quote>Whenever</quote> and inserting <quote>Except as provided in subsection (m), whenever</quote>; and</text></subparagraph> 
<subparagraph id="HA4E0986B997D49E587DD4352632E9D62"><enum>(B)</enum><text display-inline="yes-display-inline"> by adding at the end the following:</text> <quoted-block style="traditional" display-inline="no-display-inline" id="H2BF7759F342B4AC09FD48C98010187CF"> <subsection id="H42873F49EF9D4E47BEC2D2D0B41270B8"><enum>(m) </enum><text display-inline="yes-display-inline">The Federal Trade Commission may not use the procedures for administrative adjudication set forth in subsection (b) of this section to prevent the consummation of a proposed merger, acquisition, joint venture, or similar transaction that is subject to section 7, unless the complaint is accompanied by a consent agreement between the Commission and a party to the transaction that resolves all the violations alleged in the complaint. The Federal Trade Commission may institute proceedings in a district court under section 15 to prevent the consummation of such a transaction. In any such proceeding the district court shall apply the same standard for granting injunctive relieve as applicable to a proceeding brought by the United States attorneys under section 15. The Federal Trade Commission may issue an administrative complaint under this section if the complaint is accompanied by a consent agreement between the Federal Trade Commission and a party to the transaction settling the alleged violations.</text></subsection><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph></paragraph> 
<paragraph id="H5925D6E521FF4D9BB62745BC92C8CA3E"><enum>(4)</enum><text display-inline="yes-display-inline">in section 13, by inserting <quote>or a suit, action, or proceeding brought by the Federal Trade Commission under section 15</quote> before <quote>subpoenas</quote>; and</text></paragraph> <paragraph id="HCF4A46F8158D499C965DABB74BA8C40A"><enum>(5)</enum><text display-inline="yes-display-inline">in section 15, by inserting <quote>and the duty of the Federal Trade Commission with respect to the consummation of a proposed merger, acquisition, joint venture, or similar transaction that is subject to section 7 and not yet consummated,</quote> after <quote>General</quote> . </text></paragraph> </section> 
<section id="HEF91745A1C2A43E2A575882FEDECA667"><enum>3.</enum><header>Amendments to the Federal Trade Commission Act</header><text display-inline="no-display-inline">The Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/41">15 U.S.C. 41</external-xref>) is amended—</text> <paragraph id="HC18FEA658D8B462C8A0AC1A23902E1EF"><enum>(1)</enum><text>in section 5(b), by inserting <quote>(excluding the consummation of a proposed merger, acquisition, joint venture, or similar transaction that is subject to section 7 of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18">15 U.S.C. 18</external-xref>), except in cases where the Commission approves an agreement with the parties to the transaction that contains a consent order)</quote> after <quote>unfair method of competition</quote>;</text></paragraph> 
<paragraph display-inline="no-display-inline" id="HDB7165FF03EA49D68D3B1D8E04BB29F3"><enum>(2)</enum><text>in section 9, by inserting after the fourth undesignated paragraph the following:</text> <quoted-block display-inline="no-display-inline" id="H48B0F63784F44515A2CD03A9815A9CF1" style="traditional"> <paragraph id="HC499BD25D33047C09D110CF3CC2C5BA2" indent="up1"><enum></enum><text>Upon the application of the commission with respect to any activity related to the consummation of a proposed merger, acquisition, joint venture, or similar transaction that is subject to section 7 of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18">15 U.S.C. 18</external-xref>) that may result in any unfair method of competition, the district courts of the United States shall have jurisdiction to issue writs of mandamus commanding any person or corporation to comply with the provisions of this Act or any order of the commission made in pursuance thereof.</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></paragraph> 
<paragraph id="H0EF3AEAB33AA403D9BC1CD68FF3B5DDC"><enum>(3)</enum><text display-inline="yes-display-inline">in section 13(b)(1), by inserting <quote>(excluding section 7 of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18">15 U.S.C. 18</external-xref>) and section 5(a)(1) with respect to the consummation of a proposed merger, acquisition, joint venture, or similar transaction that is subject to section 7 of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18">15 U.S.C. 18</external-xref>))</quote> after <quote>Commission</quote>; and</text></paragraph> <paragraph id="H8443E1D375C94445B4469B2E31AE1514"><enum>(4)</enum><text>in section 16(a)(2)—</text> 
<subparagraph id="H057649F61CC24E17A751CD6F7856EB1D"><enum>(A)</enum><text>in subparagraph (D) by striking <quote>or</quote> at the end; </text></subparagraph> <subparagraph id="HBE11622B60D84F2F97DEAFF862F4076C"><enum>(B)</enum><text>in subparagraph (E) by adding <quote>or</quote> at the end; and</text></subparagraph> 
<subparagraph id="HE43C03471C824E0983A8296236E99458"><enum>(C)</enum><text> by adding at the end the following:</text> <quoted-block style="traditional" display-inline="no-display-inline" id="HA65B5A363E874F2BA13BA3EB93915F37"> <subparagraph id="H3A66AD988A0249E9818FA4D4A50D5019"><enum>(F)</enum><text>under section 15 of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/25">15 U.S.C. 25</external-xref>);</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph> </section> 
<section id="H71CCA703016B403FB422C49DEDFD6955"><enum>4.</enum><header>Effective date; application of amendments</header> 
<subsection id="H11145CE0C44E4DB79794F5026CD5B678"><enum>(a)</enum><header>Effective date</header><text display-inline="yes-display-inline">Except as provided in subsection (b), this Act and the amendments made by this Act shall take effect on the date of the enactment of this Act.</text></subsection> <subsection id="H6F754DA71AE54544A5A2D1549CCD7692"><enum>(b)</enum><header>Application of amendments</header><text display-inline="yes-display-inline">The amendments made by this Act shall not apply to any of the following that occurs before the date of enactment of this Act:</text> 
<paragraph id="H9C4CF4D9178B45159ACDC9F9F4683F9B"><enum>(1)</enum><text>A violation of section 7 of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18">15 U.S.C. 18</external-xref>).</text></paragraph> <paragraph id="H5F2C9B009D0447F69763D815D31442D8"><enum>(2)</enum><text>A transaction with respect to which there is compliance with section 7A of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18a">15 U.S.C. 18a</external-xref>).</text></paragraph>
